We will not intentionally publish a client's confidential information or private materials without authorization.

Clients who require confidentiality or wish to restrict portfolio use should notify Alpha Connects in writing before the project begins or before the relevant materials are published.

20. Confidentiality

Each party agrees to take reasonable steps to protect confidential information received from the other party and to use it only for the relevant business purpose.

Confidential information does not include information that is publicly available through no breach, independently developed, lawfully obtained from another source, or required to be disclosed under applicable law.

Reasonable confidentiality obligations will continue after the project ends for as long as the information remains confidential, subject to applicable law and any separate agreement.

To the extent permitted by applicable law, Alpha Connects will not be responsible for indirect or consequential losses, loss of anticipated profits, loss of business opportunities, or losses arising from third-party platform decisions that are outside our reasonable control.

Where legally permissible, our aggregate liability for a claim arising from a specific paid project will not exceed the fees paid or payable to Alpha Connects for that project during the three months preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited or excluded, including any applicable statutory rights, or any liability for which limitation is prohibited by law.

Clients remain responsible for their own business decisions, legal compliance, customer communications, and use of deliverables.

25. Indemnification

To the extent permitted by law, clients are responsible for claims arising from their unlawful use of our services, materials supplied without appropriate rights, misleading business claims, or breach of these Terms and Conditions.

This responsibility does not extend to claims caused by Alpha Connects' own breach, negligence, unlawful conduct, or other acts for which it is responsible under applicable law.

The parties will cooperate reasonably in addressing relevant claims and preventing avoidable losses.

26. Force Majeure

Neither party will be considered in breach solely because of a delay caused by circumstances beyond its reasonable control, including natural disasters, public emergencies, government restrictions, widespread network outages, cyber incidents, transport disruptions, or failures of essential third-party infrastructure.

The affected party will make reasonable efforts to reduce the impact and resume performance as soon as practicable.

If the circumstances continue for an extended period, either party may discuss reasonable changes to the project or termination arrangements, subject to applicable law and the relevant agreement.
